This agreement is between Crystallux Inc. ("Crystallux", "we", "us", "our") and you. Crystallux Inc. is a Canadian corporation with registered office at 47 Gaydon Avenue, Toronto, Ontario, Canada. These Terms of Service govern your use of the Crystallux platform, website, and related services (collectively, the "Service"). By accessing or using the Service (whether by booking a demo, creating an account, signing a Master Services Agreement, or using the dashboard) you agree to be bound by these Terms. If you do not agree, do not use the Service.
Crystallux provides an AI-powered B2B sales engine that performs prospect sourcing, AI-generated personalised outreach across email, LinkedIn, SMS, WhatsApp, voice, and video channels, meeting-booking automation, reply ingestion, and dashboard analytics. Service configuration, pricing, and guarantees specific to your account are governed by your signed Master Services Agreement (the "MSA"). These Terms apply alongside any MSA in force.

You may not use the Service to send unsolicited commercial electronic messages ("spam"), to contact individuals on government do-not-contact lists, to engage in fraud, scams, phishing, or social engineering, to harass or defame any person or business, to violate any third party's intellectual property, privacy, or publicity rights, to perform high-volume scraping of third-party platforms, to target minors, or to resell, sublicense, or white-label the Service without express written consent.
To use the Service you must be at least 18 years of age, have legal authority to bind the business you represent, provide accurate and current information during account setup, and maintain the confidentiality of your dashboard URL and token and your customer portal credentials.
All Service fees are described in your MSA. Fees are charged in Canadian dollars (CAD), subject to applicable GST and HST, billed monthly in advance on the first day of each billing cycle. Failed payments trigger a recovery sequence described in our Payment Follow-Up policy. Non-payment beyond 14 days may result in service suspension. Prices are subject to change with 30 days' written notice, except Founding Rates locked for 12 months under your MSA.
Your use of the Service is also governed by our Privacy Policy. By using the Service you agree to the Privacy Policy.
Crystallux retains all right, title, and interest in the Crystallux platform, logo, trademarks, source code, prompts, automation layer, documentation, and dashboard design. You retain all right, title, and interest in data you provide or that is generated through the Service on your behalf ("User Content"). You grant Crystallux a non-exclusive, worldwide, royalty-free licence to process User Content for the purpose of delivering the Service during your active term. Anonymised aggregate metrics may be used for benchmarking and product development.
You represent and warrant that User Content complies with all applicable laws (including CASL, PIPEDA, and professional regulatory rules), does not infringe third-party rights, is accurate to the best of your knowledge, and does not contain malware, phishing, or deceptive content. Crystallux reserves the right (but is not obligated) to review, flag, or remove User Content that violates these Terms.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. Where your MSA includes a first-30-day guarantee, that clause governs Crystallux's specific commitment subject to the conditions described in the MSA.
To the maximum extent permitted by law, Crystallux's aggregate liability under these Terms is capped at the total fees paid by you to Crystallux in the three (3) months immediately preceding the event giving rise to the liability. Crystallux is not liable for indirect, consequential, special, incidental, or punitive damages. Exclusions: gross negligence, willful misconduct, confidentiality or privacy breach, or IP infringement.
You agree to indemnify Crystallux against any third-party claims arising from your violation of these Terms, CASL, PIPEDA, or professional regulatory rules, your upload of contact data without proper consent, your misuse of the Service outside the authorised scope, User Content you cause to be sent through the Service, or your infringement of third-party intellectual property, privacy, or publicity rights.
Crystallux may modify these Terms at any time by posting updated Terms here, sending email notice to your registered email address at least 30 days before the effective date of material changes, and updating the "Last Updated" date at the top. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
Crystallux may suspend or terminate your access to the Service for violation of these Terms, non-payment beyond 30 days past due, illegal activity or fraud, or bankruptcy or insolvency of your business. Termination under these Terms does not modify MSA-specific termination provisions.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any dispute not subject to arbitration under your MSA will be resolved in the courts of Toronto, Ontario.

If any provision of these Terms is held unenforceable, the remainder remains in full effect. These Terms, together with your MSA and the Privacy Policy, constitute the entire agreement between you and Crystallux.
